Models' Agreement
This Model Release Agreement (the "Agreement") is effective on the session booking date by and between Subject's agent (the "Model") and More Than A Red Suit Company (the "Company").
Agreement Terms:
1. Authorization: The Model hereby grants More Than A Red Suit Company, its legal representatives, and assigns, the irrevocable right and permission to use photographs taken of the Model (the "Images") for the original intended purpose of capturing portraits during the photo session.
2. Copyright Ownership: The Model acknowledges that the copyright and all other intellectual property rights in the Images belong solely to More Than A Red Suit Company. The Model agrees not to reproduce, distribute, or use the Images for any purpose other than those outlined in this Agreement without the express written consent of the Company.
3. Promotional Use: The Company, Santa portrayal artists, and photographers are granted the right to use the Images for promotional purposes, including but not limited to, advertising, marketing, display, publication, and social media.
4. Original Intended Purpose: The Model understands and agrees that the Images will be used only for the original intended purpose of capturing and preserving portraits. The Model's likeness may be used in marketing materials, on the Company's website, and in related promotional efforts to showcase the services provided by the Company.
5. Model’s Warranty: The Model warrants that they are authorized to provide consent for each person appearing in the Images and have obtained all necessary releases or permissions. The Model further agrees to hold the Company, its legal representatives, and assigns harmless from any claims or liabilities arising out of any unauthorized use of likenesses or rights by individuals depicted in the Images.
6. Release: The Model releases and discharges the Company, its legal representatives, and assigns from any claims or liabilities arising out of or in connection with the use of the Images, including any claims for defamation, invasion of privacy, or violation of any rights of publicity.
7. Compensation: The Model acknowledges that no monetary compensation will be provided in exchange for the use of the Images as outlined in this Agreement.
8. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of State of Ohio.
The Model acknowledges that they have read and understood the terms of this Model Release Agreement and voluntarily agree to its content.
